B2B TERMS AND CONDITIONS
SCOPE
These terms apply to all SLURREX online-store orders placed by business and professional customers. They form part of the contract between SPH Trading Oy and the company identified in the order. Any buyer purchasing terms apply only if SPH Trading Oy has accepted them expressly in writing.
PRODUCT INFORMATION
SPH Trading Oy aims to keep product descriptions, specifications, images, prices and availability accurate. Minor differences that do not materially affect professional use may occur between batches. An obvious error does not bind SPH Trading Oy, and the buyer will be informed before the order is fulfilled.
PROFESSIONAL USE
SLURREX products are intended for construction and renovation work by professional users. The buyer is responsible for assessing suitability for the material, site and intended use; following the product instructions and safety data sheet; using appropriate protective equipment; and handling filtered water, sludge, used filters and other waste in accordance with site rules and applicable law. Filtered water is not drinking water and must not be discharged to a drain unless applicable rules and site instructions allow it.
BOOST DOSAGE
As a general starting point, add approximately 4–6 g of SLURREX BOOST per 10 L of slurry water and mix thoroughly before filtering. The required amount depends on the type of slurry and the quantity of suspended solids. For heavier slurry, add a little more gradually and mix again. The buyer must avoid unnecessary overdosing and follow the product instructions and safety data sheet.
TITLE AND RISK
Ownership of the products remains with SPH Trading Oy until the order has been paid in full. Risk passes to the buyer when the shipment is delivered to the delivery address, pickup point or a person authorised by the buyer to receive it.
DEFECTS AND REMEDIES
A claim must be submitted in writing without undue delay and must identify the order, product and alleged defect. The buyer must allow SPH Trading Oy a reasonable opportunity to inspect the product. If a defect attributable to SPH Trading Oy is confirmed, SPH Trading Oy may, at its choice, repair the product, replace it, issue a credit or refund the price of the defective product.
LIMITATION OF LIABILITY
To the extent permitted by law, SPH Trading Oy is liable only for direct and foreseeable loss caused by its breach. SPH Trading Oy is not liable for indirect loss, loss of profit, loss of production, business interruption, damage caused by incorrect use or disposal, or a result that depends on the composition of the slurry or site conditions. The total liability relating to an order is limited to the net purchase price of the affected products. These limits do not apply to intentional or grossly negligent conduct or where liability cannot lawfully be limited.
FORCE MAJEURE
SPH Trading Oy is not liable for delay or failure caused by an event beyond its reasonable control, including production interruption, material shortage, transport disruption, industrial action, authority decision, import or export restriction, power or network failure, natural event or similar circumstance. The buyer will be informed of a material delay as soon as reasonably possible.
INTELLECTUAL PROPERTY
SLURREX names, logos, product designs, instructions, images and website content belong to SPH Trading Oy or its licensors. Purchase of a product does not transfer any intellectual property right. Content may not be copied, modified or used commercially without prior written permission.
GOVERNING LAW AND DISPUTES
The contract is governed by Finnish law, excluding its conflict-of-law rules. The parties will first seek to resolve any dispute by negotiation. If no settlement is reached, disputes will be decided by the Helsinki District Court as the court of first instance.
